Every formal engagement is subject to a separate, signed Service Agreement or Statement of Work (SOW) detailing specific project phases, milestones, deliverables, and timelines.

2. Client Responsibilities & Onboarding

To ensure successful project execution and avoid timeline adjustments, you agree to cooperate fully with our production schedules. Your responsibilities include:

  • Asset Provision: Timely delivery of accurate business copy, high-resolution imagery, brand elements, and specific content requirements.
  • Infrastructure Access: Providing legitimate credentials for technical panels, including website administrative control dashboards, premium hosting environments (e.g., WP Engine, SiteGround), and necessary domain registration records.
  • Approvals: Submitting project phase sign-offs and structural adjustments within the feedback intervals established in your SOW. Delayed revisions may result in project delays or re-scheduling fees.

3. Fees, Payments, and Billing

By engaging our agency, you agree to the payment structures outlined in your project invoice or service contract:

  • Initial Deposits: A non-refundable booking deposit or upfront payment phase is required prior to project kick-off and environment configuration.
  • Milestone Payments: Remaining project balances are tied to explicit milestones (e.g., framework approval, staging deployment, final pre-launch testing) and are due upon completion of each stage.
  • Submitting Subscriptions: Continuous technical retainers, maintenance cycles, or SEO management workflows are billed on an automated, recurring monthly schedule.
  • Late Fees: Balances left unpaid past the designated due date are subject to interest charges and potential suspension of live services or staging environment availability.

4. Intellectual Property Rights

We respect ownership privileges and define asset distribution as follows:

  • Client Materials: You retain complete ownership of all trademarks, copy, images, and brand data provided to us for incorporation into your project property. You warrant that you possess all legal rights to use these provided assets.
  • Final Deliverables: Upon receipt of full and finalized payment, all customized layouts, structural web files, and graphics created exclusively for your brand transition to your full ownership.
  • Agency Toolkit: We retain rights over pre-existing code modules, custom optimization methodologies, foundational style architectures, and proprietary development patterns utilized during the creation of your property.

5. Warranties and Limitation of Liability

Our digital systems and consultation deliverables are deployed using established technical guidelines, professional design standards, and current search visibility benchmarks. However, because external algorithms, platform compliance scales, and software updates fluctuate independently, we do not guarantee specific indexing rankings or immutable traffic heights.

To the maximum extent permitted by applicable regulations, our studio will not be held liable for any indirect, operational, incidental, or structural damages—including web hosting downtime, structural vulnerabilities from third-party themes, or database disruptions—originating out of service operations.

6. Term and Termination

Either party may terminate a project workflow or continuous services according to the provisions in the primary Service Agreement. In the event of an early termination before project completion, you will be billed for all design hours, development sprints, and milestone blocks accomplished up to the termination date.

7. Modifications to Terms

We reserve the right to revise or adjust these Terms of Service at our discretion to accommodate structural framework modifications, regulatory shifts, or updated agency strategies. The current modification date will remain visible at the top of this page, and continued interaction with our properties confirms agreement to the updated framework.

8. Governing Law

These Terms and any individual operational agreements associated with our design services will be governed by and interpreted under the legislation of the jurisdiction in which our business is headquartered, without giving effect to any principles of conflicts of law.
